Terms of Service for Quantix Hub

1. Acceptance of Terms

By accessing the Quantix Hub website, purchasing a subscription, or connecting a Quantix Spoke sheet to our processing engine, you agree to be bound by these Terms of Service. These terms constitute a legal agreement between you (the "Client") and the developer of Quantix Hub (the "Provider")(contact: helloquantix@gmail.com).

 

2. Description of Service (Hub & Spoke Model)

Quantix Hub provides a "Simple ERP" infrastructure for Google Workspace. The service consists of:

  • The Spoke: A client-side Google Sheet used for data entry.
  • The Hub: The master processing engine and dashboard. The Hub aggregates Spoke data to provide automated KPI roll-ups, Gantt charts, and resource tracking. The service is provided as a Productized Service combining software architecture with implementation support.

 

3. Intellectual Property (IP) Rights

  • Ownership: The Quantix Hub name, logos, website design, underlying Google Apps Scripts, complex formulas, and the "Hub-to-Spoke" architectural logic are the exclusive intellectual property of the Provider.
  • License: You are granted a limited, non-transferable, revocable license to use the Spoke templates and the Hub's processing power for your internal business purposes for the duration of your active subscription.
  • Restrictions: You may not copy, modify for redistribution, reverse-engineer, or "strip" the formulas and scripts for use outside of the Quantix ecosystem. Reselling or White-Labeling the architecture is strictly prohibited unless governed by a separate, signed Reseller Agreement.

 

4. Billing, Seats, Access Roles & Permissions

  • Subscription Tiers: Quantix Hub is a seat-based subscription.
    • Starter ($15/mo): Up to 1 seat.
    • Professional ($100/mo): Up to 10 seats.
    • Enterprise ($240/mo): Up to 30 seats.

  • Seat Definitions: A "Seat" is any unique user with access to a Spoke or Hub.
    • Editor: Data input rights.
    • Commenter: Feedback and viewing rights.
    • Viewer: Read-only dashboard access.
  • Overages: Teams exceeding their bundle will be billed for additional seats at the rates specified on the Quantix Hub website at the start of the next billing cycle.
  • Setup Fees: All new subscriptions require a non-refundable one-time Setup Fee. This covers the initial configuration and linking of sheets.

  • Change Requests: Any requests for structural changes, new sheet tabs, or custom formula development made after the "Go-Live" date (defined as 7 days after setup) will be quoted separately as a Change Request.
  • Ownership: To maintain the architectural integrity and security of the "Hub and Spoke" system, the Provider retains sole ownership of all Master Hub and Spoke spreadsheets.

  • Client Access: Clients are granted access to their specific Spoke sheets based on their subscription role (Editor, Commenter, or Viewer).

  • Hub Security: The Master Hub is a restricted environment; the Provider is the only party with direct access to the Hub processing engine.

 

5. Data Ownership & Portability

  • Data Ownership: While the Provider owns the spreadsheet files (the "container"), the Client retains 100% ownership of the data (the "content") entered into the sheets.

  • Data Portability (Exit Clause): Upon cancellation of the subscription, the Client has the right to request a CSV or Excel export of their raw data. Access to the Quantix-owned Google Sheets and automated logic will be revoked at the end of the billing cycle.

 

6. Third-Party Platform Dependency

Quantix Hub operates exclusively within Google Workspace. The Provider is not liable for service interruptions, API changes, or policy updates initiated by Google LLC that may temporarily or permanently affect the functionality of the Hub or Spoke sheets.

 

7. Limitation of Liability

Quantix Hub is provided "as-is." While we strive for 100% accuracy in our logic, the Provider is not liable for:

  • Business interruptions or financial loss.
  • Data inaccuracies resulting from user-input errors or broken cell references caused by the Client.
  • Accidental deletion of files within the Client’s own Google Drive environment.

 

8. Termination

  • By Client: You may cancel your subscription at any time. Access to the Hub engine will remain active until the end of the current billing period.
  • By Provider: We reserve the right to terminate access immediately if these terms—specifically the IP protection or non-payment clauses—are violated. Upon termination, the Hub’s automated "sync" features will be disabled; however, the Client will retain their raw data within their Spoke sheets.
